If you access the Site on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization. Metrum AI, Inc. ("Metrum AI," "we," "us," or "our") provides a website located at www.metrum.ai ("Website") that offers information about our products and services, published technical research and benchmark reports, and a contact form for inquiries.
3. Relationship to other agreements
These Terms govern the Site only. They do not govern the Metrum Insights application, the Metrum Infra Agents platform, or any other Metrum product or service, each of which is provided under separate terms. If you have an executed master services agreement, statement of work, evaluation agreement, or non-disclosure agreement with Metrum AI, that agreement controls over these Terms to the extent of any conflict, and nothing on the Site modifies an executed agreement.
4. Use of the site
When using our website, you agree to conduct yourself in a lawful and respectful manner. You are prohibited from using the Site in any way that could damage, disable, overburden, or impair the Site, or interfere with any other party's use of the Site. You may not use our website to engage in any illegal activities, harass other users, or violate any applicable laws or regulations.
5. Intellectual Property
The content and materials available on the Site, including but not limited to text, graphics, logos, icons, buttons, images, audio clips, video clips, and data compilations, are the property of Metrum AI or its licensors and are protected by United States and international copyright laws. Metrum AI's total aggregate liability arising from or relating to the website will not exceed one hundred US dollars (USD 100). Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, gross negligence, or any other liability that cannot be excluded or limited under applicable law.

Metrum AI reserves the right to terminate your access to the Site, either in whole or in part, at any time and for any reason, with or without prior notice, including but not limited to: violation of these Terms, illegal activity, abusive behavior, security threats, fraudulent activity, disruption of service, violation of law, repeated abuse, and changes in business operations. In cases where Metrum AI deems there may be an immediate threat to its operations or security, access may be terminated without prior notice. Upon receiving a termination notice from Metrum AI, you agree to cease all attempts to access the Site.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. The exclusive venue for any dispute arising from or relating to these Terms is the state and federal courts located in Delaware, and you consent to personal jurisdiction there. These Terms do not supersede or modify any executed master services agreement, statement of work, evaluation agreement, or non-disclosure agreement between you and Metrum AI, which controls to the extent of any conflict.
16. Changes to Terms
We may update these Terms from time to time. For material changes, we will update the "Last Updated" date and post a notice on the Site at least 30 days before the change takes effect. Your continued use of the Site after that date constitutes your acceptance of the new Terms.
17. General
If any provision of these Terms is found to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it valid, and the remaining provisions will remain in full effect. Our failure to enforce any provision is not a waiver of that provision. You may not assign these Terms without our prior written consent; we may assign them freely. These Terms, together with the Privacy Policy and Cookie Policy, are the entire agreement between you and Metrum AI regarding the Site.
